TERMS AND SERVICES AGREEMENT This Terms and Services Agreement ("Agreement") governs your participation in the training course provided by DealFlo, Inc. ("Company", "we", "us", or "our"). By enrolling in the course, you ("Participant") agree to comply with and be bound by this Agreement. 1. Course Enrollment and Participation 1.1 Enrollment Process: Enrollment is completed once payment is processed, and the Participant will receive confirmation of enrollment via email. 1.2 Course Access: Upon successful enrollment, you will receive access to the course materials and resources for the duration specified in the course description. 2. Fees and Payment 2.1 Course Fees: The total cost for the course is four hundred dollars ($400) 2.2 Payment Methods: We accept payment via ApplePay or Paypal only. 2.3 Refund Policy: This course is non-refundable 3. Course Content and Intellectual Property 3.1 Course Materials: All course materials, including but not limited to videos, texts, slides, and handouts, are the exclusive property of DealFlo, Inc. and are provided for use in conjunction with this course only. 3.2 Intellectual Property: You may not copy, distribute, modify, or create derivative works from the course content without explicit written permission from DealFlo, Inc. 3.3 License: Upon enrollment, you are granted a limited, non-transferable, non-exclusive license to access and use the course materials for educational purposes only. 4. User Conduct 4.1 Prohibited Conduct: Participants are expected to behave professionally and respectfully. You agree not to: - Repurpose or copy course materials for dissemination outside the course without permission. - Share login credentials or course materials with unauthorized users. 4.2 Termination 1.1 We reserve the right to terminate your access to the course if you violate any of the terms of this Agreement, without a refund. 5. Disclaimers and Limitation of Liability 5.1 No Guarantee of Results: We make no guarantees or promises regarding the success or outcomes you will achieve by taking this course. Your success depends on your own efforts and dedication. 5.2 Limitation of Liability: To the fullest extent permitted by law, DealFlo, Inc. shall not be liable for any direct, indirect, incidental, or consequential damages resulting from your participation in the course. 6. Privacy Policy 6.1 Data Collection: We collect personal information such as name, email, and payment details for the purposes of course administration. Your information is protected under our Privacy Policy and will not be shared with third parties without your consent, except as required by law. 6.2 Communication: By enrolling, you consent to receive communications from DealFlo, Inc. regarding the course, including updates and additional resources. 7. Governing Law; No Jury Trial; Venue; Attorney’s Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of California without reference to its choice of law provisions. Venue shall be exclusively in the state or federal courts of competent jurisdiction located in Santa Clara County, California, and each Party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding. The Parties hereby irrevocably and unconditionally waive, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any legal action, proceeding, cause of action or counterclaim arising out of or relating to this Agreement, or the transactions contemplated hereby. In the event there is a dispute regarding this Agreement or the transaction contemplated herein, the non-prevailing Party shall pay the prevailing Party’s reasonable attorneys’ fees, costs and expenses. 8. Changes to the Agreement. We reserve the right to modify or update this Agreement at any time. If changes are made, Participants will be notified via email and given the opportunity to withdraw from the course before the new terms take effect. 9.
